Agreement to Terms
These Terms of Service govern your use of the LifeVen website and any service engagement that expressly incorporates them. A signed proposal, statement of work, order, or other written agreement may add to or replace portions of these Terms for a specific project.
Services
LifeVen LLC ("we," "us," or "our") provides services across professional, personal, and creative ventures, including:
- Professional services: website development, AI search visibility reviews, website upgrades, and digital project support.
- Personal and creative services: selected journals, archives, story projects, portfolios, and creative production support.
- Print production: selected books, journals, portfolios, catalogs, cards, games, memory books, and other print materials.
Mobile Apps
ClayTrace and ReinTrace have separate terms for use of each app. See the ClayTrace Terms of Use and ReinTrace Terms of Use. App Store and Google Play terms and usage rules may also apply.
Quotes and Pricing
All quotes are estimates based on the information provided. Final pricing may vary depending on project specifications, materials, and other factors. We will communicate any price changes before proceeding with production.
Project Requirements
Client Responsibilities
Clients are responsible for:
- Providing accurate project specifications and requirements
- Supplying print-ready files or content in agreed-upon formats
- Ensuring they have the right to use all materials (text, images, logos)
- Reviewing and approving proofs before production
- Meeting agreed-upon deadlines for feedback and approvals
Our Responsibilities
We will:
- Provide professional services with reasonable care and skill
- Deliver projects according to agreed specifications and timelines
- Communicate promptly about any issues or delays
- Provide proofs for approval before final production
Payment Terms
- Payment terms will be specified in project quotes and agreements
- A deposit may be required before starting production
- Final payment is due before delivery of completed projects
- Late payments may incur additional fees
Revisions and Changes
The revisions included in a project are defined by its proposal, quote, or statement of work. Work outside the agreed scope, including changes after approval or production has begun, may require a revised timeline and additional fees. We will communicate those changes before proceeding.
Cancellation and Refunds
- Deposits, retainers, and payments for work already performed or committed are non-refundable except where a signed agreement states otherwise
- Cancellation does not relieve the client of payment obligations for completed work, reserved capacity, non-cancellable supplier commitments, materials, production, shipping, or other incurred costs
- Once manufacturing, printing, procurement, or third-party production has started, cancellation may be unavailable and the full committed amount may remain due
Quality and Warranties
The client must inspect deliverables promptly and report any claimed nonconformity in writing within the period stated in the applicable agreement or, if none is stated, within 10 calendar days after delivery. Subject to supplier terms and applicable law, LifeVen's sole obligation and the client's exclusive remedy for a verified material nonconformity is, at LifeVen's option, correction, re-performance, replacement, credit, or refund of the amount paid for the affected portion.
LifeVen is not responsible for client-supplied content or files; errors visible in an approved proof; normal manufacturing, paper, binding, screen, or color variation; third-party platform or supplier changes; carrier damage not timely documented; or use outside agreed specifications. Client approval authorizes production and accepts all elements reasonably visible in the approved proof.
Intellectual Property
- You retain ownership of content and materials you provide, and confirm that you have the rights needed for us to use them for the project
- LifeVen retains its pre-existing tools, templates, processes, methods, and know-how
- Ownership and license terms for project deliverables are defined in the applicable proposal, quote, or agreement
- Portfolio use, confidentiality, and attribution are governed by the applicable project agreement
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LIFEVEN AND ITS OWNERS, MEMBERS, AFFILIATES, EMPLOYEES, CONTRACTORS, AGENTS, SUPPLIERS, SUCCESSORS, AND ASSIGNS ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, GOODWILL, OPPORTUNITIES, PRODUCTION TIME, OR BUSINESS INTERRUPTION.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LIFEVEN'S TOTAL AGGREGATE LIABILITY ARISING FROM A SERVICE ENGAGEMENT WILL NOT EXCEED THE AMOUNT THE CLIENT PAID LIFEVEN FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM DURING THE 12 MONTHS BEFORE THE CLAIM.
Warranty Disclaimer
Except for obligations expressly stated in a signed agreement, services, estimates, website content, proofs, recommendations, and deliverables are provided "as is" and "as available." To the maximum extent permitted by law, LifeVen disclaims implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and warranties arising from course of dealing or usage of trade. We do not guarantee search rankings, traffic, revenue, conversion, platform approval, legal or regulatory compliance, print-color matching, third-party availability, or a particular business result.
Indemnification
To the extent permitted by law, the client will defend, indemnify, and hold harmless LifeVen and its owners, members, affiliates, employees, contractors, agents, successors, and assigns from third-party claims, losses, liabilities, and reasonable costs and attorneys' fees arising from client-supplied content or instructions, infringement or rights violations, unlawful use of deliverables, breach of these Terms, or products, services, claims, or activities controlled by the client.
Dispute Resolution; Individual Arbitration
Before filing a claim, the parties will send written notice and attempt in good faith to resolve the dispute for 30 days. Except for eligible small-claims matters, unpaid invoices, or claims seeking injunctive relief for intellectual-property or confidentiality violations, unresolved disputes will be resolved by binding individual arbitration administered by the American Arbitration Association under its applicable rules.
EACH PARTY WAIVES A JURY TRIAL AND PARTICIPATION IN A CLASS, COLLECTIVE, CONSOLIDATED, MASS, OR REPRESENTATIVE ACTION. These Terms are governed by Washington law. If arbitration does not apply, the state and federal courts located in King County, Washington have exclusive jurisdiction, except where mandatory law requires otherwise.
Force Majeure and General Terms
LifeVen is not liable for delay or failure caused by events beyond reasonable control, including supplier or carrier failures, platform outages, labor disputes, utility or internet failures, natural disasters, government actions, war, public-health events, cyberattacks, or shortages. If a provision is unenforceable, it will be modified to the minimum extent necessary and the remaining provisions will remain effective. Failure to enforce a provision is not a waiver. LifeVen may assign these Terms in connection with an affiliate, financing, merger, acquisition, reorganization, or sale of assets.
